Terms & Conditions
General terms for use of NoMarkupsClub, memberships, product purchases, and participation in referral and compensation programs.

1. Operator and Scope
NoMarkupsClub is operated by NETWORTHY GLOBAL LLC (“NoMarkupsClub,” “the Company,” “we,” “us,” or “our”). These Terms govern access to and use of the NoMarkupsClub website, accounts, memberships, digital platform features, product purchases, referral programs, and compensation programs. Transaction-specific information displayed at checkout or on a product page, together with any applicable store-specific Delivery & Returns policy and Shipping Policy, applies to the relevant transaction. The Privacy Policy and Cookie Policy separately explain how personal data and cookies are handled. The Affiliate Plan and Referral Sales Program are informational descriptions of available programs and do not replace or amend these Terms.

2. Acceptance and Mandatory Rights
By creating an account, purchasing a membership or product, activating a compensation feature, or otherwise using the platform, you agree to these Terms. Nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited. Where mandatory consumer law grants greater protection, that law prevails.

3. Eligibility and Account Information
You must be legally capable of entering into a binding agreement and must provide accurate, complete, and current information. You are responsible for protecting your login credentials and for activity conducted through your account. You must notify support promptly if you suspect unauthorized access. The Company may request identity, residency, tax, payment, or business documentation where reasonably required for security, fraud prevention, payments, legal compliance, or participation in a compensation program.

4. Customer, Member, and Affiliate Roles
A customer may purchase products or services. A member may receive access to member features and wholesale pricing while the relevant subscription remains active. An affiliate or compensation-program participant acts independently and is not an employee, agent, partner, franchisee, or legal representative of the Company. No participant may bind the Company, make commitments on its behalf, or make product, income, or business claims that are not authorized and substantiated.

5. Membership and Subscription
Membership may be offered at USD $9.95 per month or USD $99.95 per year, as shown before payment. The applicable billing period, price, and renewal information are displayed in the account and payment interface. Access continues for the paid period, subject to these Terms. Renewal may be prevented by cancelling before the next charge through the available account or support process. Cancellation stops future renewals but does not automatically create a refund for a period already started, except where required by applicable law or where the Company confirms a billing error.

6. Compensation-Program Activation
Where offered, participation in Matrix or other compensation-plan features may require a one-time USD $40 activation payment in addition to an active membership. The activation payment provides access to the applicable digital program functionality and does not purchase or guarantee income, rank, commissions, a business territory, or any financial result.

7. Immediate Digital Access and Withdrawal Rights
Digital membership and activation features may be made available immediately after successful payment. Where required by applicable law, immediate performance will begin only after the user gives prior express consent and acknowledges the effect that beginning or completing performance may have on any statutory withdrawal right. A statement that a digital payment is non-refundable applies only to the extent permitted by applicable law and does not limit remedies for duplicate charges, confirmed processing errors, non-delivery of purchased access, fraud, or other rights that cannot lawfully be excluded.

8. Payments, Billing Errors, and Chargebacks
Payments are processed through third-party payment providers. Prices and currency are shown before payment. You must use a payment method you are authorized to use. Suspected duplicate, incorrect, or unauthorized charges should be reported promptly to support with the account email, date, amount, and available receipt. Approved refunds are returned to the original payment method where reasonably possible. A lawful payment dispute does not waive statutory rights; however, the Company may temporarily restrict affected services while a payment dispute, fraud review, or chargeback is investigated and may reverse benefits or commissions connected to a reversed transaction.

9. Product Orders
Submitting an order is an offer to purchase. An order may be rejected or cancelled before fulfilment where a product is unavailable, a price or product-data error is identified, payment cannot be verified, delivery is unavailable, the transaction appears fraudulent or unlawful, or acceptance would breach an applicable restriction. If payment has been captured for an order the Company does not accept, the relevant amount will be returned. Product images, descriptions, availability, and prices may be updated, but confirmed orders remain subject to the information and price accepted at checkout unless correction is required by law or agreed with the customer.

10. Shipping and Delivery
Processing times, delivery estimates, shipping charges, tracking availability, customs information, and address requirements are governed by the Shipping Policy and the information shown at checkout. Delivery dates are estimates unless expressly confirmed as guaranteed. International orders may be subject to duties, taxes, customs procedures, or carrier charges as disclosed or required by law. Risk of loss or damage passes as provided by applicable law.

11. Physical-Product Returns and Refunds
Returns for physical products are governed by the Delivery & Returns policy linked from the relevant product or store and by mandatory consumer law. A store-specific policy may address the return window, excluded products, condition requirements, return shipping, diminished value, damaged or incorrect goods, and the procedure for submitting a return request. No global provision in these Terms reduces a mandatory right that applies to the purchase. Refund timing and the treatment of standard outbound shipping will follow applicable law and the relevant policy.

12. Referral and Compensation Programs
Participation in a referral or compensation program is optional and subject to these Terms, the applicable published program rules, qualification conditions, account status, and payment validation. Program descriptions and examples are informational and do not guarantee that any participant will earn commissions or achieve a particular rank or result. Eligibility and final reward amounts depend on qualifying validated transactions and the applicable published program rules.

13. Commission Accrual
Commissions and other compensation arise only from eligible transactions that have been fully paid, successfully processed, validated, and confirmed by the Company. Transactions that are cancelled, refunded, declined, disputed, reversed, charged back, fraudulent, duplicated, unauthorized, or otherwise invalid do not qualify. Before an external payout is completed, the Company may cancel unpaid compensation connected to an invalid transaction and may correct documented calculation errors. If compensation connected to an invalid transaction has already been paid to an external payout account, the Company may suspend or terminate the responsible account and may pursue recovery through lawful means. No compensation is created from activity occurring after account termination.

14. Conditions and Timing of Commission Payments
A commission becomes payable only after the Company has received and confirmed the relevant funds, the underlying transaction has passed the required payment validation and fraud checks, all applicable qualifications remain satisfied, and the participant has provided complete and verified payout, identity, tax, and compliance information. Display of a pending, provisional, estimated, or internal wallet amount does not mean that an external payout has been finally approved or completed. Payment schedules may differ by commission type and are shown in the applicable program materials or participant account.

15. Payout Methods, Threshold, and Fees
Approved commission payouts are made through i-payout or another supported third-party mass-payout service designated by the Company. The minimum payout threshold is USD $25 unless a different threshold is required by applicable law, imposed by the payout provider, or clearly displayed for a particular payout method. The Company submits the full approved commission amount for payout. Account, transfer, withdrawal, bank, card, electronic-wallet, intermediary, currency-conversion, and other fees charged by i-payout or another selected provider are the responsibility of the participant and may be deducted directly by that provider. Available methods depend on the participant’s country, residence, verification status, currency, provider availability, and legal requirements. Cash, postal transfer, Western Union, and similar methods are unavailable unless expressly offered by the Company.

16. Payout Information, Verification, and Compliance Holds
Participants are responsible for accurate, complete, and current payout and tax information. The Company may delay a payout while information is missing or being verified, while a transaction is subject to reversal or dispute, or while a reasonable fraud, sanctions, anti-money-laundering, tax, security, or legal-compliance review is pending. A hold must not be used to avoid payment of a valid commission and will be released or resolved when the relevant issue is completed, subject to applicable law and provider requirements.

17. Taxes
Each participant is responsible for determining, reporting, and paying taxes, duties, social contributions, registration costs, or other obligations arising from their own business activity or compensation, except for amounts the Company is legally required to withhold or report. The Company may request tax documentation and may make legally required deductions or reports.

18. Prohibited Conduct
You must not create false or duplicate accounts; use another person’s identity or payment method without authorization; generate artificial transactions, self-referrals, sham purchases, or manipulated volume; interfere with the platform; misuse personal data; make deceptive product or income claims; misrepresent an affiliation with the Company; infringe intellectual-property rights; evade sanctions or legal restrictions; or engage in fraud, harassment, unlawful marketing, or any conduct intended to manipulate a program. Reasonable corrective action may include investigation, reversal of ineligible benefits, suspension, or termination.

19. No Earnings Guarantee
Participation does not guarantee commissions, profit, recovery of fees, rank advancement, passive income, or any other financial result. Earnings depend on eligible transactions, verified qualifications, individual activity, market conditions, refunds, expenses, taxes, and compliance with program rules. Participants must not present maximum, hypothetical, or exceptional results as typical. Any earnings representation must be truthful, substantiated, non-misleading, and consistent with current Company-approved materials.

20. Intellectual Property and Platform Use
The platform, software, NoMarkupsClub branding, original site content, and Company-created materials are protected by applicable intellectual-property laws. No license is granted except the limited right to use the platform for its intended purpose and any specific permissions expressly stated on the relevant service page or in approved program materials. This section does not withdraw permissions that the Company expressly gives, including any express permission to use official product images or descriptions for an offered resale or dropshipping service.

21. Third-Party Services
Payment processors, banks, electronic wallets, carriers, hosting providers, communication services, and other third parties operate under their own terms and systems. The Company is not responsible for a third party’s independent acts, outages, compliance decisions, or fees, but this does not exclude responsibility that applicable law places on the Company for its own selection, instructions, representations, or contractual obligations.

22. Suspension and Termination
A user may stop using the platform and may request account closure, subject to outstanding orders, legal retention duties, payment disputes, and accrued rights. The Company may restrict or terminate access for a material breach, fraud, unlawful activity, security risk, repeated payment abuse, manipulation of a program, or failure to complete a legally required verification. Where reasonably possible and lawful, the Company will provide notice and an opportunity to correct the issue. Termination does not erase obligations, disputes, payment adjustments, confidentiality duties, or rights that arose before termination.

23. Disclaimers
The platform is provided with reasonable care and skill, subject to availability, maintenance, and technical limitations. Except for warranties or remedies that cannot lawfully be excluded, the Company does not guarantee uninterrupted operation, a particular commercial result, continuous product availability, or that every third-party service will remain available. The Company is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, serious infrastructure or telecommunications failures, carrier interruptions, governmental actions, labour disputes, war, terrorism, or comparable events. This does not remove any refund, delivery obligation, or consumer remedy required by applicable law. Nothing in this section limits obligations expressly accepted in an order confirmation or another binding document.

24. Limitation of Liability
To the maximum extent permitted by applicable law, the Company is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss that was not reasonably foreseeable when the relevant contract was formed. Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct, gross negligence where applicable, death or personal injury caused by negligence, or violation of mandatory consumer or data-protection rights. This section does not exclude the Company’s obligation to provide a refund required by law, fulfil an accepted order, or pay a commission that has become finally payable under these Terms and the applicable published program rules.

25. Responsibility for Independent Business Activity
A business user or affiliate is responsible for their own advertising, statements, customer communications, legal registrations, taxes, and compliance with laws applying to their independent activity. To the extent permitted by law, a business user must reimburse the Company for direct losses, third-party claims, and reasonable costs caused by that user’s fraud, unlawful conduct, unauthorized representations, infringement, or material breach of these Terms. This provision does not apply to the extent a loss was caused by the Company.

26. Privacy and Cookies
Personal data is processed as described in the Privacy Policy. Cookies and similar technologies are addressed in the Cookie Policy and any consent interface made available on the website. These Terms do not replace those notices.

27. Changes to These Terms
The Company may update these Terms for legal, security, operational, payment, or program reasons. The current version and effective date will be published on this page. Material changes affecting an active paid service or compensation program will be communicated in a reasonable manner before they take effect where required by law. Changes do not retroactively remove a commission that had already become finally payable or a consumer right that had already arisen.

28. Governing Law and Disputes
Except where mandatory law provides otherwise, these Terms are governed by the laws of the State of Wyoming and applicable federal laws of the United States, without regard to conflict-of-law principles. A consumer retains any mandatory protection and forum rights available under the law of the consumer’s habitual residence. Before starting formal proceedings, the parties should attempt in good faith to resolve the issue through support, without limiting any right to contact a payment provider, regulator, consumer-protection body, or court.

29. Severability, No Waiver, and Entire Agreement
If a provision is found unenforceable, it will be applied to the maximum lawful extent and the remaining provisions will continue. A delay in enforcing a right is not a waiver. These Terms, together with the policies and transaction-specific information incorporated by reference, form the agreement governing the relevant use, purchase, membership, or program participation.

30. Contact
Questions, billing reports, legal notices, and support requests may be sent to support@nomarkupsclub.com. Include the account email, order or transaction reference, and relevant supporting details.
